Tecta America Corp. Continues Growth Pattern Announcing Acquisition of the Zero and Zero-Breese Companies and Addition of New Locations.

SKOKIE, IL (June 5, 2002) - Tecta America Corp. today announced that it has acquired Cincinnati-based The Zero Company and The Zero-Breese Company which serve the greater Cincinnati market. The acquisition brings the number of Tecta operations to 13, with 23 locations in total and over 1400 employees.

"The acquisition of these two companies helps us continue to build our capabilities and resources to better serve our customers on a national basis," said Tecta America CEO Mark Santacrose. "Despite an unfavorable economic climate, Tecta has been able to execute its growth plans, due to its strong operational performance. In the last six months, we have acquired a total of four companies (including Lavey Roofing Services (California) and G&W Roofing (Washington, DC) and added operations in West Palm Beach, Florida; Birmingham, Alabama; and Ocean City, Maryland."

The Zero-Breese Company, founded in 1902, services the greater Cincinnati area including northern Kentucky and Southeastern Indiana. The Zero-Breese Company employs a skilled union labor force and is known for its expertise in large commercial and industrial roofing projects designed by some of the finest architects including Frank Gehry, Michael Graves and Zaha Hadid.

Founded in 1929, The Zero Company performs all types of roofing, roof maintenance, and architectural sheet metal work in both the commercial and residential market places. "We particularly excel at specialized, complex projects that other firms are not even willing to quote," commented Johnathan Wolf, president. "The acquisition of these two complementary firms gives us full-service coverage in the mid-east region," noted Santacrose.

Tecta America was formed in 1999 with the consolidation of ten of the strongest commercial roofing companies in America. "Our strong foundation allows us to continue to acquire companies that complement the Tecta America platform," noted Santacrose. "We will continue to identify likely candidates in strategic areas as we grow our local business and build our national account opportunities."
